Introductory Provisions & Definitions
These General Terms and Conditions (the "Terms") govern the contractual relationship between the Provider (Webat’o, ID: 51831732) and its clients ("Client") in providing custom software engineering, digital ecosystems, web applications, and related technical infrastructure.
Orders, Scope of Work & Contract Execution
The contractual relationship is established upon approval of a formal proposal, email confirmation of technical specifications, or execution of a Software Development Agreement between the Provider and Client.
The exact scope of delivery, timeline of project phases, and acceptance criteria are specified in detail in the architectural specification or formal proposal.
Pricing & Invoicing Terms
Pricing for digital systems and web solutions is established on a fixed-scope milestone basis or an hourly rate for agile development sprints.
The standard payment schedule includes an advance deposit before engineering commences and subsequent milestone invoices tied to predefined deliverables.
Rights & Obligations of the Parties
- Deliver custom software systems and source code with professional engineering standards and best practices.
- Maintain strict confidentiality regarding all internal data, workflows, and commercial trade secrets of the Client.
- Ensure architecture compliance with modern cybersecurity protocols and data protection standards.
- Provide necessary cooperation, system access, and data inputs (data structures, API keys) within agreed timelines.
- Settle invoices within due dates according to the approved milestone schedule.
Intellectual Property & Code Ownership
Upon full payment of the agreed project price, all proprietary rights to custom source code and project databases transfer to the Client with zero recurring licensing fees. The Provider retains the right to utilize general programming know-how and open-source libraries in other projects.
Warranty, Monitoring & Maintenance SLA
The Provider guarantees software performance in accordance with approved specifications. Ongoing maintenance, uptime monitoring, and feature development are governed by an individual Service Level Agreement (SLA).
Final Provisions
These Terms are effective as of the date of publication. Unaddressed relations are governed by the Commercial Code of the Slovak Republic and applicable EU laws.
